Welcome to Terry. Terry is an AI tax-strategy platform built for CPAs, advisors, and their clients. Unlike research tools that answer "can a taxpayer do X?", Terry starts from a client's facts and proactively surfaces what they should consider doing — ranked by estimated annual savings, with computed math, audit-risk flags, and verified primary-authority citations attached to every recommendation.
Three ways to work with Terry — pick whichever feels right.Talk to Terry is an open chat: describe a client in plain English, ask about a specific strategy, or drop a tax document into the conversation. Terry runs schema-driven extraction across the whole package — 1040, every Schedule (A / B / C / D / E), W-2s, 1099s (NEC, MISC, INT/DIV, B, R), K-1s (1065 and 1120-S), Forms 1120-S / 1065 / 4562 / 7203, plus PDFs, photos, Excel sheets, and Word docs — and pre-fills the intake with line-by-line citations.
Demo client dropdown loads one of 5 pre-built archetypes (AZ dentist, NY law firm, CA tech founder, MN family manufacturer, TX retiring exec) so you can see the full end-to-end output in one click — matched strategies, implementation plan, comparison matrix, audit-defense packs, NPV summary, and advisor memo.
Use form instead opens the full field-by-field structured intake if you'd rather enter facts manually.
35 strategies are loaded across the full advisor stack — from small-business basics (Augusta Rule, S-Corp Election, Hiring Your Kids, Cash Balance Plan, QBI §199A), through real estate (Cost Segregation, REPS, STR Loophole, §1031 Exchange), exit planning (§1202 QSBS, §1045 Rollover, §1042 ESOP, Opportunity Zone), retirement and life-event planning (Solo 401(k), Mega Backdoor Roth, NUA, surviving-spouse income sequencing), and UHNW estate planning (SLAT, Dynasty Trust + GST, Shark-Fin CLAT, IDGT, GRAT, Intra-Family Loans, PPLI, 831(b) captives) — each with verified case law, Rev. Ruls., and IRC sections that hold up in front of an auditor.
Privacy: Terry runs in your browser. Client data is never logged or persisted between sessions unless you choose to save it. Anthropic API requests flow either through Bella Incorporated's hosted proxy (Cloudflare Worker holding a server-side key) or, in local-development mode, directly from this page using a key you paste yourself — in both cases the request goes only to Anthropic's API, nowhere else.
What’s new in v0.5:
• Multi-form extraction pipeline — drop a full tax-return package and Terry runs a two-stage Claude pass: Stage 1 inventories every form in the document, Stage 2 extracts each form in parallel against its own schema. 1040 + Schedule C + W-2s + K-1s come back as separate cards, each with its own line-level citations.
• Per-schedule apply buttons — no automatic aggregation. Each schedule's extracted values get their own “Apply” controls so you accept the numbers from each schedule independently. Same field reported by two schedules? You decide which wins, not a priority rule.
• Decision-driven planning — mark each matched strategy ✓ Recommend / × Decline / ⏸ Defer. Yes pins to the top, No is removed from totals/memo/NPV/implementation plan, Defer parks separately. Bulk “Recommend all pending” / “Clear all” controls. Everything respects your decisions in real time.
• Live decision-impact banner — every Yes/No/Defer click shows the active-plan total move ($42K → $58K, +$16K) so you see the financial weight of each decision as you make it.
• “Plan as printed” PDF — the printed memo and audit-defense packs reflect your decisions, not the raw matcher output. Excluded strategies are listed transparently at the top of the PDF so the client knows what was reviewed and skipped, not hidden.
• Audit-defense pack per strategy — structured position statement, supporting documentation checklist, expected IRS challenges, red flags, and verified case law (Watson, Walton, Pierre, Hakkak, Avrahami, etc.) for every recommended strategy. Print-ready as a separate exhibit.
• Implementation plan — a cleaner project view of what to do this year, what can wait, expected value, cost/payback, documents needed, and advisor workflow steps.
• Comparison matrix — sortable side-by-side of every matched strategy with sequencing picks (this year / next year / defer), suggested ordering, interaction warnings, and a print/PDF export.
• Year-sensitive math — the Planning year picker actually changes the math, not just labels. 2025 (TCJA peak) vs 2026 (post-sunset) inflates contribution limits, brackets, and bonus-depreciation phase-outs accordingly.
• Telemetry dashboard at /admin — KPIs, top strategies, geo distribution, error log, with self-traffic exclusion so test runs don't pollute the data.
• 800+ regression tests — every shipped feature is locked in by automated tests that run before each deploy. No silent breakage of strategy math or extraction logic.
New to Terry? — 30-second tour
Ask Terry anything — tax codes, case law, strategy mechanics, or “how does the Augusta Rule work?” Terry is a tax-strategy expert by default.
Or onboard a client: describe their situation in plain English, or drop any tax document (1040, K-1, W-2, 1099, Schedules A/B/C/D/E, 1120-S, 1065, 4562, 7203, plus photos and Excel sheets) into the chat. Terry runs Stage 1 inventory + Stage 2 per-form extraction in parallel and shows each schedule as its own card with line-level citations.
Apply per-schedule — review what Terry read off each form independently and click ✓ Apply on whichever schedules look right. No automatic aggregation across forms; you stay in control of which numbers land on the intake.
Decide on each strategy — mark each matched strategy ✓ Recommend / × Decline / ⏸ Defer. The memo, NPV, implementation plan, and printed PDF all respect your decisions.
Or pick a demo client to see Terry match strategies end-to-end in one click, then ask follow-ups and run hypotheticals in the chat.
Click See form → any time if you’d rather enter facts manually in the full intake form.

Three pre-built archetypes showcase different strategy mixes. Loads instantly + auto-runs Terry.
1 · Client Profile (Intake)
Fill this out as if you were screening a new client. Required fields are driven by what the seeded strategies need to run their math.
Selecting a state auto-populates the marginal state rate below. Override if client is in a lower bracket.
The entity's legal name as it appears on Form 1120-S, 1065, K-1, or 7203. Distinct from the client (person) name above.
Year printed on the K-1 / 1120-S / 7203 client uploaded. If blank, Terry assumes it equals the planning year above.
Enter 0 if not on payroll (LLC/Sched C).
Your estimate of market wage for this role.
Augusta Rule valuation workbench (Terry's "art + science" methodology — builds defensible FMV from corporate-venue comps + amenity uplift)
The §280A(g) FMV isn't the Zillow residential rate — it's what a client would pay to rent a corporate venue of comparable size and amenities for a day. Premium amenities (pool, guest house, outdoor kitchen, basement bar, acreage) push the rate toward country-club-for-the-day pricing. Enter 1–3 real venue comps within ~10 miles of the property; the engine averages them.
Property amenities
Comparable corporate-venue comps (at least one recommended)
§280A(g) caps the exclusion at 14 days per year.
S-Corp basis position (only fill in if client is an S-corp with prior-year losses — enables the Debt Basis Creation strategy)
From Form 7203 — losses trapped by basis under §1366(d).
Form 7203, Part I, Line 15 (end of prior year = beginning of current).
Form 7203, Part I, Line 1 — beginning-of-year balance for trend analysis.
Form 7203, Part II, Line 21 — beginning-of-year debt basis (loans to corp).
Form 7203, Part II, Line 31 — current debt basis available for absorbing losses.
Amount shareholder can loan to S-corp to create debt basis.
Check if we're amending a prior 7203/1040 rather than planning forward. Same math, different memo voice.
W-2 wages or ordinary K-1 income being recast as shareholder loan repayment. Drives SE/FICA savings on top of the basis-unlock benefit.
Combined FICA (SS 12.4% + Medicare 2.9% = 15.3%). Step down to 0.029 above SS wage base.
§199A / Retirement inputs (enables QBI, Solo 401(k), and HSA strategies)
Enables Solo 401(k) mirror contribution.
Disqualifies Solo 401(k) if yes — points toward mega-backdoor Roth instead.
Gates defined-benefit / cash-balance eligibility.
DB plans require multi-year funding; 5+ yrs is IRS benchmark.
Life events and special tax situations (enables inherited-account, medical/disability, and crypto-loss strategies)
Used for time-sensitive planning windows Terry should not miss.
Helps Terry coordinate gains, losses, and basis timing.
Inherited IRA / 401(k) subject to post-death distribution planning.
Realized or harvestable digital-asset capital loss.
Real estate inputs (enables Cost Segregation and STR Loophole strategies)
Total building basis excluding land. 0 if none.
§469(c)(7): 750+ hrs AND >50% of personal services in real property trades.
≤7 days (with material participation) = escape §469 rental classification.
Hours spent on the STR. 100+ (most participation) or 500+ per §1.469-5T(a).
Anticipated capital gain on sale of qualifying stock.
For 10× basis cap computation (exclusion is greater of $10M or 10× basis).
Family & retirement access (enables Hiring-Your-Kids, Backdoor & Mega Backdoor Roth)
Drives Roth MAGI phase-outs and SLAT eligibility.
Gate for SLAT (needs a donor-spouse + beneficiary-spouse).
0 if N/A. Used for SLAT longevity modeling.
Spouse profile (MFJ only — leave blank if single / HoH / MFS)
Used in memos and the mini-client-card when filing MFJ.
Spouse's W-2 wages. Aggregates with primary W-2 for MFJ household income (Backdoor Roth MAGI, QBI threshold, etc.).
Spouse's Schedule C / K-1 ordinary income, if any. Adds to household earned income.
Per §469(c)(7)(B) flush language, MFJ couples qualify if EITHER spouse meets 750hr + >50%-services tests. Stay-at-home or transitioning spouse is the most common qualifier.
Doubles Mega Backdoor Roth capacity when both spouses' plans permit voluntary after-tax contributions.
Triggers NUA (§402(e)(4)) analysis on either spouse's company stock at retirement / lump-sum distribution.
Cost basis in spouse's employer stock — gates NUA only if FMV > basis materially.
Current market value of spouse's employer stock in their 401(k).
Children ages 7–17 who can legitimately work in the business. Gates Hiring-Your-Kids.
Default $15,000 = 2025 single standard deduction (zero-tax wage ceiling).
All pre-tax IRA balances combined. Non-zero triggers pro-rata rule under §408(d)(2) and dirties the Backdoor Roth.
Required for Mega Backdoor Roth — plan must permit voluntary after-tax contributions above the $23,500 deferral.
In-plan Roth conversion or in-service rollover to Roth IRA — locks in tax-free growth on after-tax dollars.
Dollars the client could feasibly route to after-tax 401(k) above the $23,500 deferral. 0 = unknown.
Years client has held the QSBS so far. §1202 requires 5 years for full exclusion; §1045 allows a 60-day rollover into replacement QSBS for positions <5 years, tacking the holding period.
Net Unrealized Appreciation (§402(e)(4)) only applies to employer securities held inside a qualified plan — not open-market holdings. Common for long-tenured execs & pre-retirees.
Cost basis of the employer stock inside the qualified plan (what plan paid for it). Basis is taxed as ordinary income on the lump-sum distribution; appreciation gets LTCG treatment.
Current fair market value of the employer securities. NUA benefit = FMV − Basis, taxed at LTCG rates on sale instead of ordinary income on distribution.
Principal for a below-market loan to children/trusts. §7872 AFR loans freeze gift/estate exposure: heirs invest at a return > AFR and keep the spread outside the estate. Cite Dickman; structure per Estate of Kelley.
Client's cost of capital or opportunity rate (default 8%).
How many years these strategies deliver annual benefit.

🔎 Why (debug)
🏢 Advisor Command Center
The advisor's daily “what do I do now?” screen: resolve conflicts, approve strategies, request documents, review client questions, and release packets.
🤝 Client Meeting Mode
A live-meeting screen: client summary, advisor-approved strategies only, recommendations for today, missing documents, fee capture, follow-up tasks, and one-click meeting outcome save.
Meeting Mode is advisor-facing. It intentionally excludes declined/deferred/internal strategies so the live conversation stays clean.
✅ Advisor Follow-Up Task List
After each meeting, Terry turns outcomes into practical work: request docs, send SOW, call attorney/TPA, update implementation status, and prep the next meeting.
Follow-up tasks are advisor-only workflow notes. Client-facing portals show document/status progress, not internal task handling.
Applicable strategies, ranked by estimated annual savings
Excluded (with reason)
🧭 Guided Intake + Conflict Resolver
Use this before trusting the recommendation list: resolve document conflicts, fill missing facts that unlock strategies, and inspect where Terry got each value.
When two source documents disagree, Terry keeps both values visible and asks the advisor which source to use. Chosen values are written back to the intake with provenance badges.
🧩 Smart Plan Builder
Turns selected strategies into an implementation plan: what to do this year, what to defer, expected savings, fees/costs, documents needed, and the client packet handoff.
🏠 Client Portal 2.0
A polished client dashboard for the current saved client: what Terry found, what the advisor approved, what the client needs to do next, missing documents, strategy status, and packet download.
Client Portal Lite only shows strategies marked Ready for Client or later. Draft and CPA-reviewed-only items stay internal until the advisor intentionally promotes them.
A clean gate before anything becomes client-facing, plus task-style implementation status for every active strategy.
Release workflow is advisor-only. Clients see only strategies intentionally promoted to Ready for Client or later.
🧾 Unified Advisor Review Queue
One advisor inbox for flagged client questions, uploaded documents, law-change alerts, pending strategy truthfulness issues, citation problems, and intake conflicts.
This queue is advisor-only. Public portal users can flag questions, but they cannot see internal handling notes, law-watch issues, citation review, or intake conflict decisions.
Multi-year implementation plan
A clean project view: what to do this year, what can wait, which records are needed, and where the advisor should focus next.
Cliff dates and parameter changes reflect TCJA sunset (12/31/2025) and currently scheduled adjustments. Refresh annually as legislation updates.
🗓 Implementation Calendar
Deadlines and owners for each active strategy: CPA, client, attorney, TPA, and payroll provider. Use this for year-end planning and handoffs.
Implementation Calendar is advisor-facing. Deadlines are planning prompts, not filing advice; confirm exact dates with the CPA, counsel, TPA, payroll provider, and current law.
📊 Strategy comparison matrix
Side-by-side view of all matched strategies on savings × audit risk × complexity × time × cadence × cliff. Pick 2-3 to implement THIS year, queue the rest. Best when 5+ strategies match.
🎓 Advisor Education
Deep advisor notes for the strategies currently in the active plan. This is where Terry keeps the extra mechanics, mistakes, audit issues, authorities, and workpaper guidance that should not crowd the client packet.
Education material is for advisor training and review. It is not client-facing advice until the CPA verifies the facts, authorities, and implementation plan.
🛡 Audit-defense pack
For each matched strategy: position statement, controlling authority, contemporaneous documentation checklist, anticipated IRS challenges with prepared responses, and red-flag mitigation. Print to PDF and file with client workpapers — this is what you reach for if IRS asks.
Audit-defense narratives are platform-composed from structured strategy data. Advisor must verify facts and tailor to client's actual records before relying. Subject to CPA review.
Pricing & ROI — "is this worth doing?"
Implementation cost, attorney / TPA / admin fees, realistic payback, and do-nothing vs implement-plan comparison. This turns tax savings into a practical advisor decision.
📦 Client Deliverables Pack
Everything the advisor needs to turn the approved Terry plan into client-facing paperwork: packet export, scope of work, fee/value framing, checklist appendix, implementation steps, and signature blocks.
Deliverables are generated from the active strategy plan. CPA must confirm scope, fees, facts, and implementation responsibility before sending to a client.
Draft advisor memo
This is the client-ready output Terry generates. Advisor reviews, edits, and sends.
Prototype note: memo text is template-composed from structured strategy data, not hallucinated. In production this is where the LLM drafts narrative prose around the verified numbers and citations.
Exhibit A — Fair Market Rental Rate Support Memo (§280A(g))
Audit-defense attachment for the Augusta Rule recommendation above. Populated automatically from the Augusta valuation workbench; print or copy into client workpapers alongside screenshots of each comp venue's pricing page.
Retain this memo plus screenshots of each comp venue's pricing page and any call notes. If audited, the comp folder is the defense.
🗂 Saved Plan Snapshots + Decision Audit Log
Preserve what Terry recommended on a specific date, who changed Yes / No / Defer, why they changed it, and compare one planning version against another.
Snapshots are a professional workpaper aid. They preserve the strategy list, decisions, notes, advisor, timestamp, estimated value, and plan hash for later review.
Why Terry said what it said
Transparent rule trace. Every inclusion/exclusion decision is visible and auditable.
Talk to Terry
